Terms of Use

The terms that govern your use of Brighthammer's websites, mobile apps, and services.

These Terms of Use (“Terms”) govern access to and use of the services offered by Brighthammer Inc. (“Brighthammer,” “we,” “us,” or “our”), including our websites, mobile applications, application programming interfaces (APIs), and related integrations and features (collectively, the “Service”). By creating an account, inviting users, or otherwise using the Service, the organization you represent (“Customer”) agrees to these Terms. If you are using the Service on behalf of Customer, you represent that you have authority to bind Customer.

Authorized users

Customer may permit its employees and contractors (“Authorized Users”) to use the Service solely for Customer’s internal business purposes. Customer is responsible for Authorized Users’ compliance with these Terms and for all activity that occurs under Customer’s accounts.

Accounts and self-service

Customer may register and manage subscriptions through self-service signup and billing tools we provide. Customer must provide accurate registration information and keep credentials secure. Customer is responsible for decisions made through its account, including seat assignments, invitations, and configuration choices.

Subscription and fees

Fees, billing cycles, and plan details for self-service purchases are presented at checkout and in the account or order summary. We may change published list prices for new purchases; changes to fees for an existing subscription will apply as described in the product or billing interface or with reasonable advance notice where required.

Acceptable use

Customer and Authorized Users will not misuse the Service, including by attempting to gain unauthorized access, interfering with integrity or performance, using the Service to violate law, or scraping or reselling the Service except as expressly permitted. We may suspend or restrict access to address security risk, abuse, or non-payment, subject to applicable law and any commitments we state in the product.

Customer content

Customer retains its rights in data, files, and materials that Customer or Authorized Users submit to the Service (“Customer Content”). Customer grants Brighthammer a non-exclusive license to host, process, transmit, and display Customer Content only as reasonably necessary to provide, secure, and improve the Service for Customer. Customer is responsible for the legality and accuracy of Customer Content and for obtaining any rights or consents needed to provide it.

Brighthammer intellectual property

The Service, including software, documentation, and branding, is owned by Brighthammer or its licensors. Subject to these Terms, we grant Customer a limited, non-exclusive, non-transferable right to use the Service during the subscription term. Customer will not reverse engineer except where prohibited by law, copy except as allowed for normal use, or remove proprietary notices.

Third-party services

Integrations or third-party products that Customer connects to the Service are governed by their own terms. Brighthammer does not control and is not responsible for third-party services.

Disclaimer of warranties

The Service is provided “as is.” To the fullest extent permitted by law, Brighthammer disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Brighthammer will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenues, goodwill, or data, arising out of or related to the Service or these Terms.

Changes

We may update these Terms from time to time. If we make material changes, we will provide notice as appropriate (for example, by posting an updated version or notifying the account administrator). Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
